Asset Installment Sale Agreement

Smartphone financing pilot — LLC "Harvest Machinery Rentals"

1. Parties

This Agreement is made between LLC "Harvest Machinery Rentals" ("Seller"), registered at Tashkent region, Quyi-Chirchiq district, Surum mahalla, building 38, INN 311360433, and [Full name of Customer] ("Buyer"), holder of ID document [ID number].

2. Subject of the Agreement

The Seller agrees to sell, and the Buyer agrees to purchase on installment terms, one (1) Samsung smartphone, model [device model], IMEI [IMEI number] ("the Device"), on the terms set out below.

3. Price and Payment Schedule

• Total price of the Device: [amount] UZS.
• Initial payment due at signing: [amount / %] UZS.
• Remaining balance payable in [number] equal monthly installments of [amount] UZS, due on the [day] of each month.
• The Buyer may repay the outstanding balance early at any time without penalty.

4. Title and Ownership

Title to the Device remains with the Seller until all amounts due under this Agreement have been paid in full. Upon receipt of the final payment, title to the Device transfers to the Buyer automatically, and all financing restrictions described in Section 5 are permanently removed.

5. Device Management (Samsung Knox Guard)

While any balance remains outstanding, the Device may be enrolled in Samsung Knox Guard, a manufacturer device-management tool used to: (a) send payment reminder notifications; (b) prevent unauthorized firmware modification or removal of the management profile; and (c) temporarily restrict use of the Device if a payment becomes overdue.

The Buyer confirms that the operation of Knox Guard was explained before signing and that the Buyer's separate written consent (see the Knox Guard Consent Form) has been obtained. Knox Guard does not grant the Seller access to the Buyer's personal content such as messages, photos, or application data — its function is limited to payment-status enforcement.

6. Late Payment and Restriction

If a payment is not received within [X] days of its due date, the Seller may activate a temporary restriction on the Device via Knox Guard and will notify the Buyer of the overdue amount. The restriction is lifted automatically once the overdue amount is paid. If payments remain overdue for more than [Y] days, the Seller may terminate this Agreement in accordance with Section 7.

7. Termination

In the event of prolonged non-payment, the Seller may terminate this Agreement and take further action permitted under the laws of the Republic of Uzbekistan, including recovery of the Device where legally applicable. [Specific remedies to be confirmed with legal counsel.]

8. Governing Law
